By accessing our website, purchasing a licence, downloading, installing, or using WHMDeskCloud (WHMDC) (the “Software”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you must not use the Software or related services.
WHMDeskCloud (WHMDC) is a commercial, self-hosted billing and automation software developed by COZQ Limited (“we”, “us”, “our”). The Software is installed and operated within your own server environment.
Subject to payment of applicable fees and compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to download, install, and use the Software for your internal business operations.

You are solely responsible for the server environment on which the Software is installed, including system security, backups, configuration, updates, and compliance with applicable laws. We are not responsible for issues arising from hosting providers, server misconfiguration, or third-party software.
You are responsible for maintaining the confidentiality of account credentials and licence keys. All activity carried out using your account or licence is your responsibility. We are not liable for unauthorised access resulting from your failure to safeguard credentials.
Licences are billed on a monthly or annual basis depending on the plan selected. Licences renew automatically unless cancelled prior to the renewal date. You are responsible for ensuring payment details remain accurate and up to date.
We offer a 14-day money back guarantee for new licence purchases. Refund requests must be submitted within 14 days of the initial purchase date. This guarantee applies to first-time purchases only and does not apply to renewals.
You may cancel your licence at any time. Upon cancellation, access to updates and support continues until the end of the current billing period. Except where required by law or under the 14-day guarantee, no refunds are provided for unused time.
Licences are issued to a specific customer and installation. Licence transfer, resale, assignment, or sharing is not permitted unless expressly authorised in writing by COZQ Limited.
For licensing and update purposes, the Software may make automated API requests to our licensing servers to validate licence status and check for updates. These requests are limited to technical and licence-related information and do not include customer content or data stored within your installation.
The Software may integrate with or reference third-party services. We are not responsible for the content, availability, security, or practices of any third-party services, and use of them is at your own risk.
All intellectual property rights in the Software, website, documentation, and related materials are owned by or licensed to COZQ Limited. No ownership rights are transferred to you under these Terms.
Our website may contain links to external websites. We are not responsible for the content, availability, or practices of third-party websites, and inclusion of such links does not imply endorsement.
We take reasonable measures to maintain the security of our website and Software. However, we do not guarantee uninterrupted availability or that the website or Software will be free from viruses or other harmful components. You are responsible for implementing appropriate security measures.
The Software and website are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, COZQ Limited shall not be liable for any indirect, incidental, special, consequential, or economic losses, including loss of data, profits, revenue, or business interruption, arising from the use or inability to use the Software or website.
Nothing in these Terms limits or excludes liability where such limitation or exclusion is not permitted by law.
You agree to indemnify and hold harmless COZQ Limited from any claims, losses, damages, or expenses arising from your use of the Software or breach of these Terms.
We may update these Terms from time to time. Continued use of the Software after changes take effect constitutes acceptance of the updated Terms.
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
